Welcome to Staymonk. These Terms & Conditions ("Terms") govern your access to and use of Staymonk's hotel management software, services, and website (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using Staymonk's Services, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you must not use our Services.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent. By using our Services, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

• You must provide accurate, complete, and current information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access or security breach
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Use of Services

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.

4.2 Restrictions

You agree NOT to:

• Copy, modify, distribute, or create derivative works based on our Services
• Reverse engineer, decompile, or attempt to extract source code
• Use the Services for any illegal, fraudulent, or unauthorized purpose
• Interfere with or disrupt the integrity or performance of our Services
• Attempt to gain unauthorized access to our systems or networks
• Use automated systems (bots, scrapers) without our written permission
• Resell, sublicense, or distribute our Services to third parties
• Remove, alter, or obscure any proprietary notices or branding

5. Subscription and Payments

5.1 Subscription Plans

We offer various subscription plans with different features and pricing. You can view current plans and pricing on our website or by contacting our sales team.

5.2 Billing

• Subscription fees are billed in advance on a monthly or annual basis
• You authorize us to charge your payment method on each billing cycle
• All fees are non-refundable except as stated in our Refund & Cancellation Policy
• We reserve the right to change pricing with 30 days' notice
• Taxes (GST, VAT, etc.) will be added to your invoice as applicable

5.3 Free Trial

If you sign up for a free trial, you will have access to our Services for the trial period specified. Your subscription will automatically begin at the end of the trial unless you cancel before the trial expires.

6. Data Ownership and Usage

6.1 Your Data

You retain all ownership rights to the data you input into our Services ("Customer Data"). We do not claim ownership of your Customer Data.

6.2 Our Rights

You grant us a limited license to access, store, process, and use your Customer Data solely to provide and improve our Services, as described in our Privacy Policy.

6.3 Data Backup

While we perform regular backups, you are responsible for maintaining your own backup copies of your Customer Data. We are not liable for any data loss.

7. Intellectual Property

All intellectual property rights in our Services, including software, design, trademarks, and content, are owned by Staymonk or our licensors. These Terms do not grant you any rights to our intellectual property except for the limited license specified above.

8. Third-Party Integrations

Our Services may integrate with third-party platforms (e.g., payment gateways, OTA platforms). Your use of such integrations is subject to the third party's terms and conditions. We are not responsible for third-party services or their availability.

9. Service Availability and Modifications

• We strive to maintain 99.9% uptime but do not guarantee uninterrupted access
• We may perform scheduled maintenance with advance notice when possible
• We reserve the right to modify, suspend, or discontinue any feature at any time
• We will notify you of material changes that negatively impact your use

10. Termination

10.1 By You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period.

10.2 By Us

We may suspend or terminate your access immediately if you:

• Violate these Terms or our policies
• Fail to pay fees when due
• Engage in fraudulent or illegal activities
• Pose a security risk to our Services or other users

10.3 Effect of Termination

Upon termination, your right to access our Services ceases immediately. We will retain your data for 30 days, after which it may be permanently deleted unless required by law.

11. Warranties and Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAYMONK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Staymonk and its officers, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of our Services, violation of these Terms, or infringement of any rights of third parties.

14. Governing Law and Dispute Resolution

• These Terms are governed by the laws of India
• Any disputes shall be subject to the exclusive jurisdiction of courts in Surat, Gujarat, India
• We encourage good-faith efforts to resolve disputes informally before pursuing legal action

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through our platform. Your continued use after changes constitutes acceptance. If you do not agree, you must stop using our Services.

16. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Staymonk
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• No Waiver: Our failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our consent. We may assign them freely
• Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control
